These Terms of Service ("Terms") govern your access to and use of the software products and services provided by SchiffOps LLC, an Ohio limited liability company ("SchiffOps," "we," "us," or "our"), including PowderShopOps, IndustrialCoatingsOps, PursueBid, and any other products operated by SchiffOps LLC (collectively, the "Services"). By creating an account, accessing, or using the Services, you ("you," "your," or "Customer") agree to be bound by these Terms.
SchiffOps provides software-as-a-service tools for coating, finishing, and skilled-trade businesses, including job management, quoting, estimating, compliance tracking, bid intelligence, and related features. The Services include features that generate outputs using artificial intelligence and automated systems, including but not limited to quote generation, labor estimation, specification reading, compliance checking, proposal generation, and bid scoring.
The Services are decision-support tools intended to assist your business judgment, not to replace it. All outputs generated by the Services — including quotes, estimates, labor calculations, surface area calculations, compliance determinations (including but not limited to QP1, SSPC, NACE, and certification status), proposals, bid scores, and pursue/pass recommendations — are provided to assist you and must be independently reviewed, verified, and confirmed by you and qualified personnel before you rely on them or act upon them.
You are solely responsible for all business, financial, contractual, regulatory, and compliance decisions made using the Services. SchiffOps does not guarantee the accuracy, completeness, or suitability of any output. You acknowledge that automated and AI-generated outputs may contain errors, omissions, or inaccuracies, and that you bear full responsibility for verifying all outputs before relying on them.
Without limiting the foregoing, you specifically acknowledge that: (a) quotes and estimates must be reviewed and confirmed by you before being provided to your customers or relied upon for bidding; (b) compliance determinations must be independently verified against applicable standards and regulations; (c) bid scores and recommendations are informational opinions and not guarantees of suitability or outcome; and (d) you remain solely responsible for compliance with all laws, regulations, certification requirements, and contractual obligations applicable to your business.
The Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, SchiffOps disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. SchiffOps does not warrant that the Services will be uninterrupted, error-free, or that any output will be accurate or complete.
To the fullest extent permitted by law, in no event shall SchiffOps LLC, its members, officers, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, business, or goodwill, arising out of or related to your use of or inability to use the Services, whether based on warranty, contract, tort, or any other legal theory, even if SchiffOps has been advised of the possibility of such damages.
To the fullest extent permitted by law, SchiffOps's total cumulative liability arising out of or related to these Terms or the Services shall not exceed the total amount paid by you to SchiffOps for the Services during the twelve (12) months immediately preceding the event giving rise to the claim.
You acknowledge that the limitations in this section are a fundamental basis of the bargain between you and SchiffOps, and that SchiffOps would not provide the Services at the stated price without these limitations.
You agree to indemnify, defend, and hold harmless SchiffOps LLC and its members, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your reliance on any output of the Services; (c) your violation of these Terms; (d) your violation of any law or the rights of any third party; or (e) any business, contractual, or compliance decision you make using the Services.
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree not to misuse the Services, including by attempting to gain unauthorized access, interfering with operation, reverse-engineering, or using the Services for any unlawful purpose.
You agree to pay all fees for your selected subscription tier. Fees are billed in advance on a recurring basis and are non-refundable except as required by law or as expressly stated. Payment is processed by a third-party payment processor (Stripe); SchiffOps does not store your full payment card information. We may change fees with reasonable advance notice. Founding-member pricing, where offered, applies under the terms stated at the time of enrollment.
You retain ownership of the data you input into the Services ("Customer Data"). You grant SchiffOps a limited license to use, process, and store Customer Data solely to provide and improve the Services. SchiffOps owns all rights in the Services, software, and any aggregated or de-identified data derived from use of the Services.
Certain Services aggregate or display information from third-party and government sources, including but not limited to SAM.gov, EPA databases, and procurement platforms. SchiffOps does not control and is not responsible for the accuracy, completeness, timeliness, or availability of third-party data. Bid opportunities, enforcement data, and similar information are provided for informational purposes and must be independently verified.
SchiffOps may modify, suspend, or discontinue any part of the Services at any time. We do not guarantee any particular level of availability or uptime unless separately agreed in writing. We will use commercially reasonable efforts to maintain availability.
Either party may terminate the agreement at any time. Upon termination, your right to access the Services ceases. We may provide a reasonable period to export Customer Data following termination, after which we may delete it. Sections that by their nature should survive termination — including disclaimers, limitation of liability, indemnification, and ownership — survive.
These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-law principles. The specific dispute resolution mechanism — including venue, arbitration, and any class-action waiver — will be set forth in an amendment to these Terms once finalized.
We may update these Terms from time to time. We will provide notice of material changes. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

Quotes, estimates, labor calculations, and surface area calculations generated by this software are automated estimates intended to assist your judgment. They may contain errors and must be reviewed and verified by qualified personnel before being provided to customers or relied upon for any bid or contract. You are solely responsible for the accuracy of any quote you issue.
Compliance indicators, certification tracking, and qualification checks provided by this software are informational aids only. They do not constitute a guarantee of compliance with any standard, regulation, or contractual requirement. You are solely responsible for independently verifying all compliance and certification status against applicable standards before mobilizing crews, submitting bids, or making any compliance representation.
Bid scores, pursue/pass recommendations, and opportunity matches are informational opinions generated by automated analysis. They are not guarantees of suitability, eligibility, or outcome. You are solely responsible for evaluating any opportunity and for your decision to pursue or decline it. Opportunity data is aggregated from third-party and government sources and must be independently verified.
Certified payroll forms, WH-347 documents, and other regulatory outputs generated by this software are drafts intended to assist preparation. You are solely responsible for reviewing, verifying, and certifying the accuracy of all regulatory filings before submission. SchiffOps does not guarantee compliance with prevailing wage, Davis-Bacon, or any other regulatory requirement.
